Buying Used Prado 150 MY14 Diesel

Hi ladies and gents,
I am new to this forum and Prado and would greatly appreciate your input here.
My next door neighbour is selling his Prado and I am wondering what is the reasonable offer for both of us.
below are the details of the car:
built year 2014.
model MY14 Prado GXL.
Diesel
130k on the clock. Most highway Ks because he works in the city and we live about 60k outside the city.
The car has been serviced on time every 10k as per the log book.
He said he never took the car to do any mud/beach/bush driving. I know he has a small boat which he tows every weekend.

The paint is good condition expect for several small chips barely visible.
Inside the car is well maintained, very clean and tidy. no marks at all.

The redbook says the average K for this type of car is 50k to 70k(seems low) and private sale price is $40 to $44k. Trade in price is 34 to 37k.

I am thinking to offer him $38500 but my wife suggested $37k.

I have a 2014 D4D and it is a great car with almost 90,000 klm on the speedo and no problems at all so far. I would not worry too much about the 130,000 klm especially if as you say they have been mainly country klm. Subject to a full mechanical check by someone who knows what they are doing I think the Prado would be a good buy at $40,000 or less.
